CLÁUSULAS:PRIMERA – OBJETO
El presente contrato aclara que el Cliente encarga al Servidor el rigg y animación de un modelo 2D que se realizará de acuerdo con las especificaciones e instrucciones dadas por el Cliente a través del tablero “( )” en Pinterest, creado por el Servidor.SEGUNDA – PRESTACIÓN DE LOS SERVICIOS
Para la realización del servicio, ambas partes deberán ajustarse al siguiente modelo de trabajo basado en un plazo de 3 a 10 semanas:Revisión de material:● El Cliente deberá asegurar que el modelo 2D esté correctamente separado y finalizado para su correcto riggeo y animado. En caso de que falte algún componente o capa, se podrá negociar el costo del añadido extra al modelo.
● En caso de que se necesite modificar el archivo del modelo 2D, se necesitará el permiso del artista del modelo 2D para la correcta manipulación del archivo .PSD.
● El archivo .PSD que contiene el modelo 2D no puede filtrarse por parte del Servidor. En caso de hacerlo, el Cliente podrá tomar acciones legales en contra del Servidor.Referencias e ideas:● El Cliente proporcionará todas las referencias gráficas posibles (trabajos de otros diseñadores, artistas, animadores, etc.) en el tablero de Pinterest proporcionado por el Servidor, dando notas e ideas para la elaboración del rigg al modelo 2D.
● El Cliente no tendrá límites de subida para añadir referencias e ideas al tablero.
● El Servidor también proporcionará ejemplos gráficos del portal al tablero que se asemejen a las referencias dadas por el Cliente.
● Una vez que el Cliente haya proporcionado las referencias gráficas necesarias, este deberá señalar aquellos elementos que más le convengan en su producto final.
● El Servidor adjuntará todos los elementos señalados para la elaboración de propuestas de diseño.Propuestas de rigg y animación:● El Servidor usará un modelo de trabajo limitado por el Tier contratado.
● El Servidor podrá enviar propuestas mientras el Cliente considera y decide otros elementos de su proyecto que aún no se han trabajado.
● El Cliente podrá pedir modificaciones propuestas. El Servidor deberá anunciar la disponibilidad en la que se encuentre para realizar dichos cambios en bocetos y propuestas de diseño.Aceptación de propuestas:● El Cliente deberá comunicar al Servidor la elección de propuestas que le resulten convenientes para su proyecto.
● La aceptación de las propuestas puede ser paulatinamente mientras se dialogan sobre otros elementos del proyecto.
Realización del rigg y animado.
● Una vez recopilada la información, el Servidor podrá realizar el rigg y animado del modelo 2D adaptándose a las propuestas.
● El Cliente podrá pedir modificaciones menores a las partes ya animadas.
● El Cliente no podrá pedir que se modifiquen los elementos ya trabajados si este tiene ideas completamente diferentes a las que ha brindado.
● El proyecto puede demorar de entre 2 a 6 semanas para finalizar, tenga en cuenta que los pedidos se realizan por orden de cupo.
● Una vez finalizado el proyecto, el Cliente recibirá un archivo .RAR que contendrá el modelo 2D riggeado, animado y configurado para usarse en Vtube Studio. No se dará el archivo editable para Live2D.
● Cualquier cambio o modificación después de la finalización del proyecto deberá tener una revisión implicando al presupuesto y tiempo de entrega.CUARTA – PRECIOS Y REMUNERACIÓN
Los servicios a ofrecer por parte del Servidor deberán adecuarse a los precios según la cotización que brinde el Servidor dependiendo del proyecto que solicite el Cliente.La tarifa es confidencial y podrá ser revisada y actualizada por el Servidor dependiendo de las situaciones que se presenten para realizar el proyecto.Se ofrecen dos alternativas de moneda dependiendo del contexto del Cliente:a) El pago del servicio es en pesos mexicanos para personas que residan en México.
b) El pago del servicio para personas extranjeras o que residan fuera de México es en dólar estadounidense.QUINTA - FORMA DE PAGO Y REEMBOLSO
El cliente tiene dos alternativas de pago dependiendo de sus contextos y se las comunicará al servidor para proporcionarle la información necesaria:1) Vía PAYPAL:
La modalidad de pago es a través de PAYPAL mediante una factura proporcionada por el Servidor con los precios específicos referidos en la cotización.
Se necesitará proporcionar un correo electrónico vigente por parte del Cliente para usarse en la factura de PAYPAL a nombre de “Aleluye”, así se hará llegar al correo proporcionado la factura para el pago del servicio.
El Cliente deberá pagar el 30% del monto original en la factura de PAYPAL para asegurar su cupo dentro de los 5 días siguientes a la firma de este contrato.
El cliente puede liquidar el resto del monto en las cantidades que desee. La factura de PAYPAL le permitirá pagar en los montos que el cliente considere adecuado.
Si el cliente tiene la opción de pagar el 100% del monto original para liquidar el servicio, estará en todo su derecho.
En caso de que sea necesario la finalización de la ilustración del modelo 2D en un tiempo límite, se deberá pagar el 50% extra del costo original. Esto le permitirá tener el rigg del modelo 2D finalizado en menos de 10 días.
NOTA: Se pide un 5% extra adicional al precio original debido a las comisiones que toma PAYPAL durante los procesos de pagos, transferencias y depósitos de dicha plataforma.2) Vía Transferencia Bancaria/Depósito:
La modalidad de pago es a través de Transferencia Bancaria o Depósito a nombre de “( )“ a la cuenta XXXX – XXXX – XXXX – XXXX.
El Cliente deberá pagar el 30% del monto original para asegurar su cupo dentro de los 5 días siguientes a la firma de este contrato.
El cliente puede liquidar el resto del monto en las cantidades que desee.
Si el cliente tiene la opción de pagar el 100% del monto original para liquidar el servicio, estará en todo su derecho.
En caso de que sea necesario la finalización de la ilustración del modelo 2D en un tiempo límite, se deberá pagar el 50% extra del costo original. Esto le permitirá tener el rigg del modelo 2D finalizado en menos de 10 días.En casos de reembolsos:El Cliente puede pedir un reembolso del 90% de lo establecido en la cotización en caso de que este decida cancelar el servicio siempre y cuando no se haya comenzado dicha producción.
Una vez se comience el cronograma del servicio, no se permitirán reembolsos.
El Servidor podrá reembolsar el 100% en caso de que no sea capaz de iniciar y realizar el pedido. El servidor dejará en claro las razones por las cuales se hará el reembolso.Consideraciones:Cada Cliente tiene un lugar de espera conforme anticipen un lugar. La producción de los servicios comenzará una vez que el Servidor comunique estar preparado para dicho trabajo.SEXTA – OBLIGACIONES Y SUGERENCIAS DE LAS PARTESDurante el desarrollo del proyecto, el Cliente debe:● Colaborar y brindar la información necesaria para la realización del proyecto.
● Facilitar la información a través de los medios sugeridos por el Servidor.
● Guardar confidencialidad y no filtrar ningún material realizado por el Servidor sin su autorización.
● No podrá utilizar ni reclamar como propios todo boceto y propuesta de diseño brindados por el Servidor.
● Pedir reportes y las muestras de todos los avances del proyecto en todo momento para su seguridad.De manera paralela, el Servidor deberá:● Informar al Cliente en caso de que existan restricciones, infracciones a los derechos de autor o copyright que impidan la elaboración de su proyecto.
● Sugerir propuestas de acuerdo con las especificaciones del Cliente en todo momento.
● Proporcionar los reportes y avances que solicite el Cliente.
● Guardar confidencialidad sobre el proyecto durante la realización y finalización del proyecto hasta que el Cliente decida comunicar públicamente su proyecto.
● Enviar material visual de los avances que el Cliente desee solicitar.
● Pedir la autorización del Cliente para mostrar avances del proyecto.
● El artista podrá mostrar avances del pedido en sitios de suscripción como Ko-FI en caso de que el cliente lo autorice.SÉPTIMA – PROPIEDAD INTELECTUAL
El Servidor poseerá la titularidad de propiedad intelectual de todo producto hecho durante el desarrollo del proyecto relacionado a este contrato.
El Servidor cede en exclusiva al Cliente los derechos de explotación y uso comercial, más no la de propiedad intelectual. A ambas partes se les prohíbe la venta y reventa de todo producto resultante durante el desarrollo de este proyecto, así como el archivo final que el Cliente recibirá.
Una vez finalizado el proyecto, El Cliente deberá acreditar al Servidor, de acuerdo con su criterio, en todo tipo de promoción de cualquier medio el producto final del proyecto relacionado a este contrato.
El Servidor podrá usar el producto final en su portafolio de trabajo para la promoción de su trabajo una vez que el Cliente haya comunicado públicamente el proyecto. Se mencionará al cliente y sus redes sociales en el portafolio del artista.OCTAVA – CONFIDENCIALIDAD Y PRIVACIDAD
Todo lo que se documente en este contrato será confidencial. Ambas partes deberán evitar la filtración de información relacionado a este contrato y lo relacionado al proyecto para evitar el daño a la propiedad intelectual e identidades. Queda acordado que cualquiera de las partes será responsable de los daños y perjuicios que pueda provocarle a la contraparte con motivo del presente contrato.
Una vez firmado este contrato, ambas partes aceptan los términos y condiciones que conllevan la realización del proyecto.

CLAUSES:FIRST – OBJECT

● In case you need to modify the 2D model file,
Permission from the 2D model artist will be required for proper manipulation of the .PSD file.
● The .PSD file containing the 2D model cannot be filtered by the Server. In case of doing so, the Client may take legal action against the Server.References and ideas:
● The Client will provide all possible graphic references (works of other designers, artists, animators, etc.) on the Pinterest board provided by the Server, giving notes and ideas for rigging the 2D model.
● The Client will not have upload limits to add references and ideas to the board.
● The Server will also provide graphical examples of the portal to the dashboard that resemble the references given by the Client.
● Once the Client has provided the necessary graphic references, he must indicate those elements that are most convenient for him in his final product.
● The Server will attach all the elements indicated for the preparation of design proposals.Rigg and animation proposals:
● The Server will use a work model limited by the contracted Tier.
● The Server may send proposals while the Client considers and decides other elements of his project that have not yet been worked on.
● The Client may request proposed modifications.
The Server must announce the availability in which it is to make said changes in sketches and design proposals.Acceptance of proposals:
● The Client must communicate to the Server the choice of proposals that are convenient for his project.
● The acceptance of the proposals can be gradually while they talk about other elements of the project.
Realization of the rigg and animated.
● Once the information is collected, the Server will be able to rig and animate the 2D model, adapting to the proposals.
● The Client may request minor modifications to the already animated parts.
● The Client will not be able to request that the elements already worked on be modified if he has completely different ideas from the ones he has provided.
● The project can take between 2 to 6 weeks to finish, keep in mind that orders are made in order of quota.
● Once the project is finished, the Client will receive a .
RAR that will contain the rigged, animated and configured 2D model to be used in Vtube Studio. The editable file for Live2D will not be given.
● Any change or modification after the completion of the project must have a review involving the budget and delivery time.FOURTH – PRICES AND REMUNERATION
The services to be offered by the Server must be adapted to the prices according to the quote provided by the Server depending on the project requested by the Client.
The rate is confidential and may be reviewed and updated by the Server depending on the situations that arise to carry out the project.Two currency alternatives are offered depending on the Client's context:a) The payment of the service is in Mexican pesos for people residing in Mexico.
b) The payment of the service for foreigners or those residing outside of Mexico is in US dollars.FIFTH - FORM OF PAYMENT AND REFUND
The client has two payment alternatives depending on their contexts and will communicate them to the server to provide the necessary information:1) Via PAYPAL:
The method of payment is through PAYPAL by means of an invoice provided by the Server with the specific prices referred to in the quote.It will be necessary to provide a current email by the Client to be used in the PAYPAL invoice in the name of "Aleluye", so the invoice for the payment of the service will be sent to the email provided.
The Customer must pay 30% of the original amount on the PAYPAL invoice to ensure their place within 5 days of signing this contract.
The client can settle the rest of the amount in the amounts that he wishes. The PAYPAL invoice will allow you to pay in the amounts that the client deems appropriate.
If the customer has the option to pay 100% of the original amount to settle the service, they will be within their rights.
In case it is necessary to finish the illustration of the 2D model within a limited time, an extra 50% of the original cost must be paid. This will allow you to have the finished 2D model rigg in less than 10 days.
NOTE: An additional 5% additional to the original price is requested due to the commissions that PAYPAL takes during the payment, transfer and deposit processes of said platform.2) Via Bank Transfer/Deposit:
The method of payment is through Bank Transfer or Deposit in the name of "( )" to the account XXXX – XXXX – XXXX – XXXX.
The Client must pay 30% of the original amount to ensure his place within 5 days of signing this contract.
The client can settle the rest of the amount in the amounts they want.
If the customer has the option to pay 100% of the original amount to settle the service, they will be within their rights.
In case it is necessary to finish the illustration of the 2D model within a limited time, an extra 50% of the original cost must be paid.
This will allow you to have the finished 2D model rigg in less than 10 days.In cases of refunds:The Client can request a refund of 90% of what is established in the quote in the event that he decides to cancel the service as long as said production has not started.
Once the service schedule begins,
refunds will not be allowed.
The Server may refund 100% in case you are not able to start and place the order. The server will make clear the reasons why the refund will be made.Considerations:Each Client has a waiting place as they anticipate a place.
The production of the services will begin once the Server communicates that it is ready for said work.SIXTH – OBLIGATIONS AND SUGGESTIONS OF THE PARTIESDuring the development of the project, the Client must:● Collaborate and provide the necessary information to carry out the project.
● Facilitate the information through the means suggested by the Server.
● Keep confidentiality and not leak any material made by the Server without your authorization.
● You may not use or claim as your own any sketches and design proposals provided by the Server.
● Request reports and samples of all project progress at all times for your safety.Parallel,
the Server shall:● Inform the Client in the event that there are restrictions, copyright or copyright infringements that prevent the development of their project.
● Suggest proposals according to the Client's specifications at all times.
● Provide the reports and advances requested by the Client.
● Keep confidentiality about the project during the realization and completion of the project until the Client decides to publicly communicate his project.
● Send visual material of the progress that the Client wishes to request.
● Request authorization from the Client to show project progress.
● The artist will be able to show order previews on subscription sites like Ko-FI if the client allows it.SEVENTH – INTELLECTUAL PROPERTY
The Server will own the intellectual property of all products made during the development of the project related to this contract.
The Server exclusively assigns to the Client the rights of exploitation and commercial use, but not the intellectual property.
Both parties are prohibited from selling and reselling any product resulting from the development of this project, as well as the final file that the Client will receive.
Once the project is finished, the Client must accredit the Server, according to its criteria,
in all types of promotion of any media the final product of the project related to this contract.
The Server may use the final product in its portfolio of work for the promotion of its work once the Client has publicly communicated the project. The client and their social networks will be mentioned in the artist's portfolio.
EIGHTH – CONFIDENTIALITY AND PRIVACY
Everything documented in this contract will be confidential. Both parties must avoid the leak of information related to this contract and related to the project to avoid damage to intellectual property and identities.
It is agreed that either party will be responsible for any damages that may be caused to the other party by reason of this contract.
Once this contract is signed, both parties accept the terms and conditions that entail the realization of the project.
